Terms and Conditions for Transcriptify

These Terms and Conditions apply to the use of the macOS application Transcriptify: Video to Text, provided by:

1. Scope

These Terms and Conditions apply to the use of Transcriptify.

Transcriptify is distributed through Apple’s Mac App Store. Your purchase, download, payment, refund, and use of the Mac App Store are also governed by the applicable terms of Apple and the applicable App Store end-user licence agreement.

These Terms supplement Apple’s applicable terms. Where mandatory Apple terms or mandatory consumer-protection laws take precedence, those provisions remain unaffected.

2. Provider

Apple is not the developer or operator of Transcriptify.

3. Description of the Application

Transcriptify is a macOS application that converts compatible audio and video files into text.

The application processes selected files locally on the user’s Mac using a locally executed speech-recognition model.

Core functionality may include:

• importing supported audio and video files;
• extracting audio from video files;
• selecting or automatically detecting a language;
• generating a transcript locally; and
• copying the generated transcript.

The precise functionality, compatibility requirements, supported formats, and supported languages are described in the current App Store listing.

4. Technical Requirements

Transcriptify requires a compatible Mac, a supported version of macOS, sufficient storage space, and the technical resources required to process audio or video files.

Certain functions may be optimised for or limited to Apple Silicon Macs.

The user is responsible for checking the system requirements displayed in the App Store before purchasing or installing the application.

Transcription speed and performance depend on factors including:

• the Mac model;
• available memory and storage;
• file length;
• audio quality;
• background noise;
• number of speakers;
• speaker pronunciation;
• language; and
• other applications running on the device.

5. Licence

Subject to payment of the applicable purchase price and compliance with these Terms and Apple’s applicable licence terms, you receive a limited, non-exclusive, non-transferable, and revocable right to install and use Transcriptify on compatible Apple devices associated with your App Store account, as permitted by Apple’s applicable rules.

The application is licensed, not sold.

You may not:

• reproduce or distribute the application except as expressly permitted by law or Apple’s terms;
• rent, lease, sublicense, sell, or commercially redistribute the application;
• circumvent technical protection mechanisms;
• use the application to develop a competing product through unlawful extraction or copying;
• reverse engineer, decompile, or disassemble the application, except where such activity is expressly permitted by mandatory law; or
• remove copyright, trademark, or attribution notices.

6. Purchase and Payment

Purchases are processed through Apple’s Mac App Store.

The purchase price shown by Apple at the time of purchase applies. Apple is responsible for processing the payment and may apply taxes, currency conversions, regional pricing, or other App Store conditions.

Unless expressly stated otherwise in the App Store listing, Transcriptify is offered as a one-time purchase and does not require a recurring subscription.

Invoices, payment confirmations, billing questions, and App Store payment issues are generally handled through Apple.

7. Withdrawal, Cancellations, and Refunds

Statutory consumer rights remain unaffected.

Where the application is purchased through the Mac App Store, cancellation and refund requests must generally be submitted through Apple and are handled in accordance with Apple’s applicable rules and mandatory consumer-protection law.

Nothing in these Terms excludes a statutory right of withdrawal, refund, repair, replacement, price reduction, termination, or damages where such a right applies.

8. Updates

We may provide updates to:

• fix errors;
• improve compatibility;
• improve performance;
• address security issues;
• adapt the application to changes in macOS or Apple technologies; or
• modify or improve functionality.

Updates may require a newer version of macOS or compatible hardware.

Mandatory statutory obligations concerning updates for digital products remain unaffected.

We do not guarantee that the application will remain compatible indefinitely with operating-system versions, hardware, codecs, or file formats that are no longer supported by Apple or their respective providers.

9. Transcription Accuracy

Speech recognition is an automated process and is not error-free.

Transcriptify does not guarantee that transcripts will be complete, accurate, correctly punctuated, correctly attributed to speakers, or suitable for a particular purpose.

Errors may occur due to, among other things:

• poor recording quality;
• background noise;
• overlapping speech;
• accents or dialects;
• specialist terminology;
• names and numbers;
• music;
• damaged files; or
• unsupported codecs.

You must review and verify transcripts before relying on them.

Transcriptify should not be used as the sole basis for medical, legal, financial, safety-critical, evidentiary, accessibility, employment, or other important decisions.

10. Local Processing and Data Responsibility

Transcriptify is designed to process selected files locally on your Mac.

You are responsible for:

• securely storing your files and transcripts;
• maintaining appropriate backups;
• protecting access to your Mac;
• checking clipboard content before sharing it;
• protecting confidential or sensitive information; and
• deleting files or transcripts that are no longer required.

We cannot recover files, transcripts, or application data that are lost, overwritten, corrupted, or deleted on your device.

11. Rights to Audio and Video Content

You may use Transcriptify only with content that you are legally permitted to access and process.

You are solely responsible for ensuring that your use complies with applicable laws and third-party rights, including:

• privacy and data-protection law;
• confidentiality obligations;
• copyright and related rights;
• employment and workplace rules;
• recording and surveillance laws;
• personality rights; and
• contractual obligations.

You must obtain any consent or permission required to record or transcribe another person.

Transcriptify does not determine whether a recording or transcription is lawful.

12. Prohibited Use

You may not use Transcriptify:

• for unlawful purposes;
• to infringe intellectual-property rights;
• to unlawfully record or monitor another person;
• to process content obtained without required authorisation;
• to create or distribute unlawful content;
• to interfere with the application’s operation or security; or
• in a manner that violates Apple’s applicable terms.

13. Third-Party Components

Transcriptify may include or use third-party and open-source components, including speech-recognition technology based on OpenAI Whisper.

The relevant third-party licences and notices may be provided within the application or accompanying documentation.

OpenAI does not operate, sponsor, endorse, or provide Transcriptify. The application does not send transcription content to OpenAI merely because it uses a locally executed Whisper model.

Third-party names and trademarks remain the property of their respective owners.

14. Availability and Compatibility

We aim to provide a functional and reliable application but cannot guarantee uninterrupted or error-free operation in every hardware, operating-system, file, and codec configuration.

Temporary limitations may result from:

• software errors;
• operating-system updates;
• hardware limitations;
• unsupported or corrupted files;
• third-party components; or
• changes made by Apple.

Mandatory rights relating to conformity of digital products remain unaffected.

15. Liability

We are liable without limitation:

• in cases of intent or gross negligence;
• for injury to life, body, or health;
• under applicable product-liability law;
• where a guarantee has expressly been given; and
• in other cases where liability cannot legally be excluded or limited.

In cases of slight negligence, we are liable only for the breach of an essential contractual obligation whose fulfilment is necessary for proper performance of the contract and on which the user may ordinarily rely.

In such cases, liability is limited to the foreseeable damage typical for this type of contract.

The above limitations also apply to our legal representatives and agents.

Mandatory consumer rights and liability provisions remain unaffected.

16. No Professional Advice

Transcriptify is a technical transcription tool.

Generated transcripts do not constitute medical, legal, financial, journalistic, academic, accessibility, or other professional advice or certification.

The user remains responsible for reviewing and evaluating the generated text.

17. Termination of Use

You may stop using and uninstall Transcriptify at any time.

Your licence may end if you materially violate these Terms or the applicable App Store licence conditions, subject to applicable law.

Provisions that by their nature should continue to apply after termination, including intellectual-property, liability, and governing-law provisions, remain applicable.

18. Apple-Specific Provisions

You acknowledge that these Terms are concluded between you and the application provider, not Apple.

To the extent required by Apple’s applicable terms:

• the application provider, rather than Apple, is responsible for Transcriptify and its content;
• Apple has no obligation to provide maintenance or support services for the application;
• Apple is not responsible for claims relating to the application except where required by law;
• Apple and its subsidiaries may be third-party beneficiaries of the applicable licence terms; and
• Apple may enforce applicable licence provisions against you.

These provisions do not limit any rights you may have directly against Apple under Apple’s own terms or applicable law.

19. Changes to These Terms

We may update these Terms where reasonably necessary, for example because of:

• changes to the application;
• legal or regulatory requirements;
• security considerations;
• changes to Apple’s platform; or
• clarification of existing provisions.

Changes will not retroactively remove rights already acquired by consumers.

Where required, users will be informed of material changes in an appropriate manner.

20. Governing Law

The laws of the Federal Republic of Germany apply, excluding the United Nations Convention on Contracts for the International Sale of Goods.

For consumers, this choice of law does not deprive them of mandatory protections provided by the law of the country in which they have their habitual residence.

Mandatory rules regarding jurisdiction remain unaffected.

21. Dispute Resolution

We are neither willing nor obliged to participate in dispute-resolution proceedings before a consumer arbitration board, unless a legal obligation to participate applies.

22. Severability

If any provision of these Terms is or becomes invalid or unenforceable, the remaining provisions remain unaffected.

The applicable statutory provision shall take the place of the invalid or unenforceable provision.
